Terms of service

Who you are agreeing with

These terms are between you and Rudderberry, LLC, a Florida limited liability company doing business as CertifiedHours. “We” and “us” in these terms mean Rudderberry, LLC.

Who may use it

The service is for businesses: contractors, subcontractors, and the bookkeepers and staff who prepare their payrolls. You must be at least 18 and able to agree to these terms for the business you use it for.

What this service is

A tool that prepares certified payroll documents (in the format of U.S. Department of Labor Form WH-347 and its Statement of Compliance, and other formats we add) from information you enter. It is not a payroll service, does not move money, does not file anything on your behalf, and does not provide legal, accounting, or tax advice.

Your responsibilities

You are responsible for the accuracy of everything you enter, for confirming that the wage determination rates and classifications you use are the ones in your contract, for reviewing each document before you sign and submit it, and for meeting your submission deadlines. The certifying official who signs a Statement of Compliance is making that certification, not us.

Accuracy of calculations

We compute overtime, fringe, gross, and net figures from your inputs using the rules described in the Department of Labor’s instructions for Form WH-347. We test these calculations, but we cannot guarantee they fit every contract, state rule, or agency requirement. Warnings the tool shows are aids, not determinations of compliance.

Subscription, renewal and cancellation

Paid plans are subscriptions sold by Lemon Squeezy, our payment partner and merchant of record, whose buyer terms also apply to the payment. A monthly plan renews and is charged every month, and an annual plan every year, until you cancel. Cancel or pause at any time under Settings, Plan, Manage subscription; after you cancel, access continues to the end of the period you paid for and the plan does not renew. While a subscription is paused you are not charged, the free plan’s allowance applies, and your data stays. We may change prices with 30 days’ notice, and a change applies from your next renewal after that notice.

Free plan

Accounts are free without a card and may finalize one certified payroll per calendar month for a week with work performed; a no-work week does not count toward it. Paid plans remove the limit. Your data stays in your account on either plan. We will not withdraw the free monthly payroll from existing accounts.

Refunds

If a prime or agency rejects a WH-347 we generated because of its layout or math, tell us at support@certifiedhours.com. We fix it the same business day (Monday to Friday, excluding U.S. federal holidays) or refund that month’s charge; on an annual plan, one-twelfth of the annual charge. Otherwise subscriptions are not refunded for partial periods, but you can cancel at any time and keep access to the end of the period you paid for.

Your data

You own the data you enter. See the privacy policy for how it is handled. Your records stay in your account as long as it is open, paid or not; keeping certified payroll records for 3 years after the prime contract is completed is your own legal duty. You can export each payroll as a PDF and CSV at any time, and delete your account yourself under Settings, Delete this account, or ask us to by emailing privacy@certifiedhours.com.

Acceptable use

Use the service only for your own or your clients’ real payrolls. Do not use it to send messages that are not payroll submissions, to probe or overload it, to get around its limits, or to enter data you have no right to use. We may suspend or close an account that breaks these rules or puts other customers at risk; where we can, we tell you first and let you export your data.

No warranty

The service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that any prime, agency, or portal will accept a document, beyond the refund above.

Limitation of liability

To the fullest extent permitted by law, our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim. We are not liable for penalties, withheld payments, back wages, or other consequences of a certified payroll you submitted.

Indemnity

You agree to cover our reasonable costs of a claim brought against us by a third party that arises from the data you entered, a certified payroll you signed or submitted, or your breach of these terms.

Changes

We may update these terms; we will post the new date above and, for material changes, email account owners.

Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute that cannot be resolved by talking to us first is brought in the state or federal courts located in Florida.
